These Terms of Service ("Terms") govern your use of MillworkIQ's website and services. By requesting a quote, engaging our services, or using our website, you agree to these Terms.
1. Company Information

2. Services Offered
MillworkIQ provides professional millwork services including:
- Shop Drawings: Production-ready technical drawings compliant with AWI/AWMAC standards
- Microvellum Products: Custom product development and library creation
- Library Development: Comprehensive Microvellum libraries for doors, drawers, and hardware
All services are provided on a project-by-project basis as mutually agreed upon.
3. Quotations and Estimates
3.1 Quote Validity
- All quotations are estimates, not binding contracts
- Quotes are valid for thirty (30) days from the date issued
- After 30 days, quotes may be revised to reflect current pricing and availability
3.2 Quote Acceptance
- Quotes become binding upon client acceptance and payment of the initial deposit
- Scope changes after acceptance may result in revised pricing
- We reserve the right to decline projects at our discretion
4. Client Responsibilities
To receive accurate quotes and quality deliverables, clients must provide:
- Scope of Work: Clear, detailed description of project requirements
- Reference Drawings: Architectural plans, specifications, or design intent documents
- Clear Intent: Specific expectations and any special requirements
- Timely Communication: Prompt responses to questions and requests for clarification
Important: MillworkIQ is not responsible for errors or delays resulting from incomplete, inaccurate, or late client-provided information.
5. Payment Terms
5.1 Standard Payment Schedule
- 50% deposit required before work begins
- 50% upon submittal to architect or general contractor
- Hourly rate applies for any additional work, revisions, or scope changes beyond the original agreement
5.2 Payment Methods
We accept payment via check, ACH, credit card, or other mutually agreed methods.
5.3 Late Payment
- Invoices are due within fifteen (15) days of issuance unless otherwise specified
- Late payments may incur a 1.5% monthly finance charge
- Work may be suspended for accounts more than 30 days past due
5.4 Disputes
Payment disputes must be raised in writing within ten (10) days of invoice receipt.
6. Intellectual Property and Ownership
6.1 Ownership Before Payment
All deliverables, including shop drawings, CAD files, Microvellum products, and libraries, remain the exclusive intellectual property of MillworkIQ until full payment is received.
6.2 Transfer of Ownership
Upon receipt of full payment:
- Ownership transfers to the client for the specific deliverables purchased
- Client receives all agreed-upon file formats and documentation
- Client may use deliverables for the intended project
6.3 Restrictions
- Clients may not resell, redistribute, or license MillworkIQ deliverables to third parties without written permission
- MillworkIQ retains the right to use project examples (anonymized if requested) for portfolio and marketing purposes
7. Warranties and Disclaimers
7.1 No Warranty of Accuracy
MillworkIQ provides drawings and services on an "AS IS" basis. While we strive for accuracy and quality:
- We do NOT guarantee that drawings are error-free or suitable for all applications
- Clients are responsible for reviewing and verifying all deliverables before use
- Final responsibility for construction accuracy rests with the fabricator, contractor, and client
7.2 Professional Review
Shop drawings should be reviewed by qualified professionals (architects, engineers, contractors) before fabrication or installation.
7.3 Disclaimer of Warranties
MILLWORKIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
8. Limitation of Liability
8.1 Maximum Liability
MillworkIQ's total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific project in question.
8.2 Excluded Damages
In no event shall MillworkIQ be liable for:
- Indirect, incidental, consequential, or punitive damages
- Lost profits, revenue, or business opportunities
- Project delays or cost overruns
- Damages resulting from client-provided information or third-party actions
8.3 Exceptions
Nothing in these Terms limits liability for gross negligence, willful misconduct, or violations of applicable law.
9. Revisions and Change Orders
9.1 Included Revisions
Each project quote specifies the number of included revision rounds, if any.
9.2 Additional Revisions
Revisions beyond the included scope are billed at our hourly rate and require client approval before work begins.
9.3 Scope Changes
Material changes to project scope require a new quote or change order. Work will not proceed without client acceptance and payment authorization.
10. Project Timeline
10.1 Estimates Only
Project timelines provided are estimates and not guaranteed delivery dates unless explicitly stated in writing.
10.2 Delays
MillworkIQ is not liable for delays caused by:
- Client failure to provide required information or approvals
- Force majeure events (natural disasters, pandemics, etc.)
- Third-party delays beyond our control
11. Cancellation and Refunds
11.1 Client Cancellation
- Clients may cancel projects with written notice
- Deposits are non-refundable
- Client is responsible for payment of work completed to date
11.2 MillworkIQ Cancellation
We reserve the right to cancel or suspend services if:
- Client fails to provide required information or payment
- Project scope significantly deviates from the original agreement
- Client conduct is unprofessional or abusive
12. Confidentiality
MillworkIQ will maintain the confidentiality of proprietary client information. However:
- General project details may be used for portfolio purposes (anonymized upon request)
- Information shared with subcontractors and partners as necessary for project completion
13. Dispute Resolution
13.1 Good Faith Negotiation
In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation.
13.2 Arbitration and Litigation
If negotiation fails, disputes may be resolved through:
- Mediation or arbitration (if both parties agree)
- Litigation in the appropriate court
13.3 Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
13.4 Jurisdiction
Any legal action must be brought in the state or federal courts located in Florida.
14. Force Majeure
MillworkIQ is not liable for failure to perform due to causes beyond reasonable control, including:
- Natural disasters, fires, floods, earthquakes
- War, terrorism, civil unrest
- Pandemic, epidemic, or government-mandated shutdowns
- Internet or technology outages
15. Independent Contractor
MillworkIQ operates as an independent contractor. Nothing in these Terms creates an employer-employee, partnership, or joint venture relationship.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
17. Entire Agreement
These Terms, along with any signed quotes or agreements, constitute the entire agreement between MillworkIQ and the client, superseding all prior communications or agreements.
18. Modifications
MillworkIQ reserves the right to modify these Terms at any time. Updates will be posted with a new "Last Updated" date. Continued use of services after changes constitutes acceptance.
